I'm not very familiar with the three speed transmissions but I don't think you would have to change the bell housing or clutch. If the clutch is working good I probably wouldn't even take it out. Just pull your three speed out and put the newer one in. I don't know about the drive shaft. You would have to measure the transmissions to see if there is a difference in length and check the output shafts to make sure the splines are the same.
