Question i need your opinion

I found a guy that has a rebuilt 400 and rebuilt 205 transfer that he will sell for $1200. I plan on running 4:56 gears and around 38" tires. What do you guys think does this sound like a good deal? and will this setup work for what i want to run? thanks for the help.
