Carpet, heat shield AND sound deadener?

Since I have to replace the carpet in the '67, I wanted to do Fatmat at the same time. Someone recommended doing a heat shield as well. Is this going to give the carpet a "mushy" type feel from so many layers? Is this over kill or would you recommend doing the whole kit and kaboodle?
