Seat cover reusable?

I've finally ordered new bench seat bottom foam for a great price from member (pickmup). I'd like to keep the original Highlander seat cover, but it has a couple issues: some dry rot on the seat back cloth and a couple of small tears on the driver's side vinyl (see pics).

What are the prospects of getting this cover over the new foam without making the problems worse or causing a total blowout. Since I'm not replacing the seat back foam, I think that part should be ok (they aren't connected are they?), but I'm worried about the splits in the vinyl.

Also, does anyone have advice about repairing either of these bad spots?
