Transmission
How do you know when a transmission is shot? Mine is not shifting out of first gear and the fluid is a brownish color.

Fluid sounds like it's burnt. Might want to change fluid and filter. Check your vacuum line on the modulator.

Gotta take the pan down and check the fluid and filter for metal shavings. If non found, filler back up, run it in park til the engine is all the way hot, drive it nicely around the block and see if the problem returns.
TH400 or 350?

I agree with above,check the modulator.Take the vac.hose off the modulator (just trace the line down from the back of the engine to the trans) and see if there is vacuum there.Also check that the diaphram in the modulator isn't shot,if it is you might see fluid there and it will not hold vacuum.
Another cause of a trans. sticking in 1st is a stuck governor (inside the round cover on the right iirc.) From what you are saying,it isn't slipping during an attempted shift, correct?
